Job summary

AMD is seeking a Sr. Corporate Counsel, M&A to lead strategic transactions including mergers, acquisitions, divestitures, and other deals. You will partner with Corporate Development and senior leaders to structure transactions, address legal risks, and guide teams throughout the lifecycle.

You will manage external firms, draft critical documents, and coordinate regulatory filings while advising executives on complex matters. JD and active U.S.

Qualifications

• Extensive M&A and minority investments experience.
• Strong drafting and negotiation skills.
• Ability to advise senior executives on complex deals.
• Licensed to practice in at least one U.S. state.

Responsibilities

• Lead significant portions of M&A transactions and related strategic deals.
• Prepare, review, and negotiate LOIs, purchase agreements, and ancillary documents.
• Provide practical counsel on deal structuring, risk allocation, and indemnification.
• Coordinate due diligence with experts and external advisors.
• Advise on regulatory matters (CFIUS, HSR, antitrust) and filings.
• Drive post-closing legal integration and cross-functional collaboration.
