Job summary

AMD is seeking a Strategic Transactions Paralegal to support the M&A function within the Corporate & Securities Legal team, focusing on strategic transactions and integration. You will manage deal checklists, data rooms, and closing packages while coordinating with internal stakeholders and outside counsel.

You will draft and review routine agreements, assist with regulatory filings including CFIUS/HSR, and help streamline transaction processes.

Qualifications

• Bachelor’s degree, equivalent practical experience, or paralegal certification.
• Experience supporting M&A transactions and post-closing integration.
• Attention to detail and accuracy.
• Strong knowledge of legal terminology and regulatory requirements.
• Excellent analytical, organizational, and project management skills.
• Clear verbal and written communication; able to collaborate with stakeholders.
• Notary public commission is a plus.

Responsibilities

• Support M&A transactions, joint ventures, minority investments and other strategic deals.
• Coordinate execution packages, closing activities, and post-closing deliverables.
• Coordinate meetings, prepare agendas, distribute documents, track actions.
• Route and maintain transaction documents.
• Draft, review, negotiate routine agreements with supervision.
• Prepare corporate entity documents and filings for acquired entities.
• Assist with regulatory filings (CFIUS, HSR, antitrust, FDI) and approvals.
• Manage multiple projects with deadlines and quality deliverables.
• Assist audits, risk management, and compliance documentation.
• Prepare materials for executive review of structures and risks.
• Coordinate with Accounting, Treasury, Tax, HR, IP, IT, Corporate Development, Real Estate, Investor Relations, and Corporate Communications.
• Identify process improvements in legal and compliance workflows.
• Monitor regulatory changes and communicate updates.
• Coordinate with outside counsel to meet deadlines.
• Support other corporate matters as needed.
