Job summary

AMD is seeking a Director, Corporate & Securities Counsel to provide strategic legal support across corporate, securities and governance matters. This role reports to the Senior Director and partners with cross-functional teams in a fast-moving public company environment.

The ideal candidate brings extensive SEC reporting, governance and proxy experience, strong business judgment, and the ability to translate complex legal concepts into actionable guidance for senior leaders while leading a team

Qualifications

• Experience with SEC reporting, securities compliance and corporate governance.
• Experience supporting proxy statements and annual shareholder meetings.
• Ability to translate complex legal concepts into clear guidance for senior leaders.
• Strong written and oral communication; high integrity and ethics.
• Demonstrated leadership and people management.

Responsibilities

• Advise on compliance with federal and state securities laws and Nasdaq requirements.
• Prepare and file SEC documents including 10-K, 10-Q, 8-K and proxy statements.
• Review earnings materials and public communications.
• Support executive compensation, equity plans, and stock administration.
• Advise on capital markets, debt and equity financings, and ISDA documentation.
• Lead global subsidiary governance and entity management.
• Support international tax activities and intercompany agreements.
• Manage and mentor a corporate and securities legal team.
• Coordinate with cross-functional partners and outside counsel.
