Job summary

Rocket Software is seeking a Senior Legal Counsel to independently support revenue-generating activities for its Americas sales organization. You will structure, negotiate, and close complex commercial transactions, including software licensing and SaaS agreements, while partnering with Sales, Product, and Compliance teams.

You will advise on regulatory and contractual issues, develop scalable contracting processes, and help drive Rocket’s growth with practical, business-focused legal guidance.

Qualifications

• J.D. and bar admission in at least one US jurisdiction.
• Minimum 5 years of in-house or equivalent experience with complex tech transactions.
• Experience drafting and negotiating software licensing, SaaS, cloud, and enterprise agreements.
• Strong business judgment with independent risk assessment and decision-making.
• Excellent written and verbal communication; proven cross-functional partnership.

Responsibilities

• Draft, review, negotiate, and manage complex commercial agreements (software licensing, SaaS, cloud, services, NDAs).
• Lead negotiations with customers, partners, and vendors and escalate material risks with recommended actions.
• Collaborate with Sales, Product, Finance, Security, Privacy, and Compliance to structure deals.
• Advise on legal/regulatory issues in technology transactions and ensure compliance.
• Develop templates, clauses, and guidance to scale contracting processes.
