Rocket Software is seeking a Senior Legal Counsel to support the Americas sales organization, independently structuring, negotiating, and closing complex commercial transactions. You will collaborate with Sales, Product, Finance, and Compliance to guide business decisions and manage risk.

The role demands a business-minded attorney with in-house experience, strong negotiation skills, and the ability to operate with templates and playbooks while creating scalable contracting processes.

Competenze

• Juris Doctor (J.D.) degree from an accredited law school.
• Licensed and in good standing to practice law in at least one U.S. jurisdiction.
• A minimum of 5 years of relevant legal experience, including substantial in-house experience focused on complex commercial transactions and software licensing.
• Experience drafting, reviewing, and negotiating complex technology-related agreements.
• Experience supporting software, SaaS, cloud computing, or other technology businesses.
• Knowledge of software licensing, data privacy, export controls, and anti-corruption laws.
• Strong business and legal judgment, with demonstrated ability to independently assess risk, make decisions within established authority, and clearly articulate practical recommendations to business and executive stakeholders.
• Excellent written, verbal, negotiation, and interpersonal communication skills.
• Demonstrated ability to independently manage a substantial workload, prioritize competing demands, and drive matters to timely completion in a fast-paced environment with limited day-to-day supervision.

Mansioni

• Independently draft, review, negotiate, and manage a broad range of complex commercial agreements, including software licensing, SaaS, cloud services, reseller and partner agreements, professional services agreements, NDAs, procurement contracts, statements of work, and strategic enterprise transactions.
• Lead negotiations and provide practical, risk-based guidance, escalating material or novel risks with recommended actions.
• Partner with Sales and go-to-market leaders on deal strategy, contract escalations, and cross-functional input through execution.
• Advise internal stakeholders on legal, regulatory, and contractual issues related to technology transactions.
• Structure creative commercial solutions while ensuring compliance with policies and laws.
• Develop understanding of Rocket Software's products and customer environments to provide effective legal support.
• Collaborate with Finance, Security, Privacy, Product Management, Procurement, and Compliance teams.
• Monitor legal developments affecting the business and recommend actions.
• Utilize templates and playbooks, adapting as needed and creating new guidance for recurring needs.
• Support corporate governance initiatives and strategic projects.
