Rocket Software is seeking a Senior Legal Counsel to independently support revenue-generating activities for the Americas sales organization. You will structure, negotiate, and close complex commercial transactions, leveraging templates and playbooks while crafting tailored language for significant deals.

As a business-minded attorney, you will collaborate with Sales, Channel Partners, Product, Finance, and Compliance teams to drive growth, manage risk, and implement scalable contracting

Qualificações

• Juris Doctor degree from an accredited law school.
• Licensed to practice law in at least one U.S. jurisdiction.
• Minimum 5 years of relevant in-house legal experience in complex commercial transactions and software licensing.
• Experience drafting, reviewing, and negotiating technology-related agreements.
• Experience supporting software, SaaS, cloud, or technology businesses.
• Knowledge of data privacy, export controls, and anti-corruption laws.
• Strong business and legal judgment with risk assessment and advisory ability.
• Excellent written, verbal, negotiation, and interpersonal skills.
• Ability to manage a heavy workload with minimal supervision.
• Ability to collaborate with business stakeholders and customers.

Responsabilidades

• Independently draft, review, negotiate, and manage complex commercial agreements including software licensing, SaaS, cloud services, NDAs, and statements of work.
• Lead negotiations with customers, partners, and vendors and escalate material risks with recommended actions.
• Work with Sales and go-to-market teams on deal strategy and cross-functional input through execution.
• Advise on legal, regulatory, and contractual issues related to technology transactions.
• Develop creative commercial solutions while ensuring policy and legal compliance.
• Understand Rocket Software products and business strategy to provide effective legal support.
• Collaborate with Finance, Security, Privacy, Product, Procurement, and Compliance teams to manage commitments.
• Monitor regulatory developments and update templates, clauses, and playbooks as needed.
• Support corporate governance initiatives and leverage AI-enabled tools to improve operations.
