Job summary

Rocket Software is seeking a Senior Legal Counsel to support its Americas sales org, negotiating complex commercial transactions from structuring to execution. You will advise on software licensing, SaaS, cloud, and enterprise agreements, balancing business goals with risk and regulatory compliance.

The role partners with Sales, Product, Finance, Security, Privacy, and Compliance to scale contracting processes and templates, enabling growth while protecting the company.

Qualifications

• J.D. from an accredited law school and licensed to practice in at least one U.S. jurisdiction.
• Minimum 5 years of relevant in-house or complex commercial transaction experience.
• Experience drafting, reviewing, and negotiating technology-related agreements.

Responsibilities

• Draft, review, negotiate, and manage complex commercial agreements including software licensing, SaaS, cloud services, and professional services.
• Lead negotiations with customers, partners, and vendors; assess risks and escalate material issues.
• Partner with Sales and GTM leaders on deal strategy and cross-functional input through execution.
• Advise on legal, regulatory, and contractual issues in technology transactions.
• Develop templates, clauses, and guidance; improve contracting processes and governance.
