Rocket Software is seeking a Senior Legal Counsel to independently support Rocket’s Americas sales organization. You will draft, negotiate, and close complex commercial transactions, including software licensing and SaaS arrangements, while advising on regulatory compliance and risk.

The role emphasizes collaboration with Sales, Finance, Security, and Product teams and leverages playbooks to scale contracting processes.

Qualifications

• J.D. degree from an accredited law school.
• Licensed to practice law in at least one U.S. jurisdiction.
• Minimum 5 years of in-house or equivalent experience in complex commercial transactions and software licensing.
• Experience drafting, reviewing, and negotiating technology-related agreements.
• Experience supporting software, SaaS, cloud, or tech businesses.
• Knowledge of software licensing, data privacy, export controls, and anti-corruption laws.
• Strong business and legal judgment with independent decision-making.

Responsabilités

• Draft, review, negotiate, and manage a broad range of complex commercial agreements (software licensing, SaaS, cloud, reseller, professional services, NDAs, procurement, SOWs).
• Lead negotiations with customers, partners, and vendors, with risk-based guidance.
• Collaborate with Sales and GTM leaders on deal strategy and cross-functional input.
• Advise on legal, regulatory, and contractual issues in technology transactions.
• Structure creative commercial solutions while ensuring compliance with policies and laws.
• Understand Rocket Software’s products and customer environment to provide effective legal support.
• Collaborate across Finance, Security, Privacy, Product, Procurement, and Compliance.
• Monitor regulatory developments and update templates, clauses, and processes as needed.
• Support corporate governance and strategic projects; leverage AI tools to improve operations.
