Rocket Software is seeking a Senior Legal Counsel to support the Americas sales organization, independently managing significant commercial transactions from structuring to execution. You’ll work with Sales, Product, Finance, and Compliance to structure deals, provide pragmatic guidance, and ensure regulatory compliance.

The role emphasizes independent judgment, scalable processes, and close collaboration with business leaders.

Qualifications

• J.D. required and admitted to practice in at least one U.S. jurisdiction.
• 5+ years of relevant legal experience with in-house focus on complex commercial transactions and software licensing.
• Experience drafting, reviewing, and negotiating tech-related agreements (software, SaaS, cloud).
• Knowledge of data privacy, export controls, and anti-corruption laws.
• Ability to assess risk and provide practical recommendations to executives.
• Excellent written, verbal, and interpersonal communication skills.

Responsibilities

• Draft, review, negotiate, and manage a broad range of complex commercial agreements (software licensing, SaaS, cloud services, NDAs, statements of work).
• Lead negotiations with customers, partners, and vendors and escalate material risks as needed.
• Partner with Sales and go-to-market leaders on deal strategy and cross-functional input.
• Advise on legal, regulatory, and contractual issues related to technology transactions.
• Develop templates, clauses, and playbooks to scale contracting processes.
