Job summary

Jazz Pharmaceuticals, a global biopharma company, seeks a Senior Director, Corporate Counsel, Intellectual Property (IP) to lead robust global patent and IP strategies for its products, platform technologies, and acquired assets, ensuring alignment with corporate growth objectives and maximizing the value of the innovation portfolio.

Qualifications

• Fully qualified U.S. Patent Attorney or Agent with 10+ years of IP experience in biopharma.
• Experience leading IP due diligence for acquisitions, licensing, collaborations and other strategic transactions.
• Deep expertise in patent portfolio development, lifecycle management, and exclusivity strategies.
• Ability to work in a dynamic, fast-paced team environment and influence senior executives.

Responsibilities

• Serve as an IP advisor to corporate development teams on acquisitions, licensing, collaborations, and strategic transactions.
• Conduct comprehensive IP due diligence, freedom-to-operate evaluations, and portfolio risk analyses.
• Prepare clear diligence findings and recommendations for leadership and transaction teams.
• Develop post-transaction integration strategies, including patent portfolio optimization and ownership alignment.
• Lead global patent strategies and manage portfolios from invention capture to issuance and lifecycle management.
• Provide input on transaction documents including licensing, collaboration, and acquisition agreements and related provisions.
• Collaborate with research, development, commercial, regulatory, and corporate development teams to deliver IP guidance.
• Evaluate freedom-to-operate, infringement, validity, patentability and competitive landscape analyses.
• Manage outside counsel for prosecution, due diligence, litigation, and opinions to ensure high-quality outcomes.
• Counsel senior management on IP risks, opportunities, and portfolio optimization initiatives.
• Review publications and disclosures to protect patent rights and support external communications.
• Advise on contentious matters including patent litigation and post-grant proceedings.
