Qualifications

• JD from an ABA-accredited law school with an excellent academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing.
• 10+ years of investment fund formation, structuring, and regulatory compliance.
• Deep knowledge of private equity, hedge, credit funds and other investment vehicles.
• Experience advising sponsors and managers on governance and disclosures.
• Large law firm experience preferred.

Responsibilities

• Advise fund sponsors and managers on the formation, structuring, and launch of investment funds across multiple asset classes.
• Draft and negotiate fund documentation, including private placement memoranda, limited partnership agreements, operating agreements, and subscription materials.
• Counsel clients on regulatory compliance matters under federal and state securities laws.
• Provide ongoing advice regarding fund operations, governance, and investor relations.
• Collaborate with colleagues across tax, regulatory, and transactional teams to deliver comprehensive legal solutions.
• Stay current on regulatory developments impacting the investment management industry.
