ExcelliSearch, Inc. is seeking a seasoned Investment Funds Associate Attorney to join its Investment Management & Funds Practice Group across multiple U.S. offices.

This hybrid role involves leading sophisticated fund formation and structuring matters for private equity sponsors, hedge funds, credit funds and other vehicles. Ideal candidates have 10+ years of experience, JD from ABA-accredited school, and active bar admission.

Qualifications

• JD from ABA-accredited law school with an excellent academic record
• Active Bar Admission in the relevant jurisdiction, in good standing
• 10+ years of significant experience in investment fund formation, structuring, and ongoing regulatory compliance

Responsibilities

• Advise fund sponsors and investment managers on formation, structuring, and launch of funds across asset classes
• Draft and negotiate fund documents including PPMs, LPAs, operating agreements, and subscription materials
• Counsel clients on regulatory compliance under federal and state securities laws
• Provide ongoing advice on fund operations, governance, and investor relations
• Collaborate with tax, regulatory, and transactional teams to deliver comprehensive legal solutions
• Stay current on regulatory developments impacting the investment management industry
