Unknown Firm is seeking a senior Investment Funds Attorney to join its Investment Management & Funds practice across multiple U.S. offices in a hybrid capacity.

The role focuses on complex fund formation, structuring, governance, and regulatory compliance for private equity sponsors, hedge funds, credit funds and other investment vehicles. The ideal candidate will have a JD from an ABA-accredited law school, active bar admission, and 10+ years of experience in investment funds, with strong

Qualifications

• JD from ABA-accredited law school with excellent academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing.
• 10+ years of significant experience in investment fund formation, structuring, and ongoing regulatory compliance.
• Deep knowledge of private equity funds, hedge funds, credit funds, and other alternative investment vehicles.

Responsibilities

• Advise fund sponsors and investment managers on formation, structuring, and launch of investment funds across multiple asset classes.
• Draft and negotiate fund documentation including private placement memoranda, limited partnership agreements, operating agreements, and subscription materials.
• Counsel clients on regulatory compliance matters under federal and state securities laws.
• Provide ongoing advice regarding fund operations, governance, and investor relations.
• Collaborate with tax, regulatory, and transactional teams to deliver comprehensive legal solutions.
• Stay current on regulatory developments impacting the investment management industry.
