Barrette Workforce Solutions, LLC is assisting a national AmLaw 200 firm in seeking an Investment Funds Associate Attorney to join a sophisticated Investment Management & Funds practice across multiple U.S. offices.

The role is hybrid and involves complex fund formation, governance, and regulatory matters for private equity sponsors and other investment vehicles. The candidate will bring 10+ years of fund formation experience, JD from an ABA-accredited school, and active bar admission.

Qualifications

• JD from ABA-accredited law school with excellent academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing.
• 10+ years of experience in investment fund formation, structuring, and regulatory compliance.
• Deep knowledge of private equity funds, hedge funds, credit funds, and other vehicles.
• Experience advising sponsors and managers on governance, disclosures, and regulatory matters.
• Strong familiarity with U.S. investment management regulations including the Investment Advisers Act of 1940.

Responsibilities

• Advise fund sponsors and investment managers on formation, structuring, and launch of investment funds across multiple asset classes.
• Draft and negotiate fund documentation, including private placement memoranda, LPAs, operating agreements, and subscription materials.
• Counsel clients on regulatory compliance matters under federal and state securities laws.
• Provide ongoing advice regarding fund operations, governance, and investor relations.
• Collaborate with colleagues across tax, regulatory, and transactional teams to deliver comprehensive legal solutions.
• Stay current on regulatory developments impacting the investment management industry.
