Unknown Firm, a national AmLaw 200 firm, is seeking a seasoned Investment Funds Attorney to join its Investment Management & Funds practice offices across the United States in a hybrid role. The candidate will handle complex fund formation, governance, and regulatory matters for private equity sponsors, hedge funds, credit funds, and other alternative investment vehicles.

Qualified candidates have 10+ years in fund formation and a strong background in U.S.

Qualifications

• JD from an ABA-accredited law school with an excellent academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing.

Responsibilities

• Advise fund sponsors and investment managers on the formation, structuring, and launch of investment funds across multiple asset classes.
• Draft and negotiate fund documentation, including private placement memoranda, limited partnership agreements, operating agreements, and subscription materials.
• Counsel clients on regulatory compliance matters under federal and state securities laws.
• Provide ongoing advice regarding fund operations, governance, and investor relations.
• Collaborate with colleagues across tax, regulatory, and transactional teams to deliver comprehensive legal solutions.
• Stay current on regulatory developments impacting the investment management industry.
