Job summary

Our client, a national AmLaw 200 firm, seeks a seasoned Investment Funds Attorney to handle fund formation and governance matters across multiple U.S. offices.

The role offers hybrid work and high-value, sophisticated fund work for private equity sponsors, hedge funds, and other vehicles. The candidate will bring 10+ years of experience, strong Bar credentials, and a track record in complex funds matters, with a collaborative culture and strong client service focus.

Qualifications

• JD from an ABA-accredited law school with an excellent academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing.
• 10+ years of experience in investment fund formation and regulatory matters.
• Deep knowledge of private equity, hedge funds and other funds.
• Experience advising sponsors and managers on fund governance and disclosures.
• Familiar with U.S. investment management regulations and SEC rules.
• Large law firm experience strongly preferred.

Responsibilities

• Advise fund sponsors and managers on formation, structuring and launches.
• Draft and negotiate fund documents including LLC/LP agreements and PPMs.
• Counsel on regulatory compliance under securities laws.
• Provide ongoing advice on governance and investor relations.
• Collaborate with tax, regulatory and transactional teams.
• Stay current on regulatory developments affecting the funds industry.
