The role focuses on complex fund formation, structuring, and regulatory matters for private equity sponsors, hedge funds, and other alternative vehicles. You will advise sponsors and managers on governance, disclosures, and compliance under the Investment Advisers Act and related SEC requirements, collaborating

Qualifikationen

• 10+ years of experience in investment fund formation, structuring, and regulatory compliance.
• Experience advising sponsors and managers on fund governance, disclosures, and regulatory matters.
• Strong familiarity with U.S. investment management regulations and the Investment Advisers Act of 1940.

Aufgaben

• Advise fund sponsors and investment managers on formation, structuring, and launch of investment funds across asset classes.
• Draft and negotiate fund documentation including private placement memoranda, LPAs, operating agreements, and subscription materials.
• Counsel clients on regulatory compliance under federal and state securities laws.
• Provide ongoing advice on fund operations, governance, and investor relations.
• Collaborate with tax, regulatory, and transactional teams to deliver comprehensive legal solutions.
• Stay current on regulatory developments impacting the investment management industry.
