Our client, a national AmLaw 200 firm, seeks a seasoned Investment Funds Attorney to join its Investment Management & Funds practice across multiple U.S. offices. This hybrid role focuses on high-value fund formation and structuring for private equity sponsors, hedge funds, credit funds, and other alternative vehicles.

The candidate will have a JD from an ABA-accredited law school, active bar admission, and 10+ years of fund formation and regulatory experience. Large firm background preferred.

Qualifikationen

• JD from an ABA-accredited law school with an excellent academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing.
• 10+ years of experience in investment fund formation, structuring, and ongoing regulatory compliance.
• Deep knowledge of private equity, hedge, credit funds, and other alternative investment vehicles.
• Experience advising sponsors and managers on fund governance, disclosures, and regulatory matters.
• Strong familiarity with U.S. investment management regulations, including the Investment Advisers Act of 1940 and related SEC requirements.
• Ability to manage complex matters independently and act as a trusted advisor to sophisticated clients.
• Excellent oral and written communication skills, sound judgment, and client-focused approach.
• Large law firm experience strongly preferred.

Aufgaben

• Advise fund sponsors and investment managers on formation, structuring, and launch of funds across multiple asset classes.
• Draft and negotiate fund documents: private placement memoranda, LPAs, operating agreements, subscriptions.
• Counsel on regulatory compliance under federal and state securities laws.
• Provide ongoing advice on fund operations, governance, and investor relations.
• Collaborate with tax, regulatory, and transactional teams to deliver solutions.
• Stay current on regulatory developments impacting the investment management industry.
