A premier national AmLaw 200 firm is seeking a senior Investment Funds Attorney to join its Investment Management & Funds practice across multiple U.S. offices, including New Jersey.

The role focuses on fund formation, structuring, governance, and regulatory matters for private equity sponsors, hedge funds, and other vehicles. Candidates should have 10+ years of experience, a JD from an ABA-accredited law school, active bar admission, and a track record handling complex funds matters.

Formación

• JD from ABA-accredited law school with excellent academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing.
• 10+ years of significant experience in investment fund formation, structuring, and ongoing regulatory compliance.
• Deep knowledge of private equity funds, hedge funds, credit funds, and other alternative investment vehicles.
• Experience advising sponsors and managers on fund governance, disclosures, and regulatory matters.
• Strong familiarity with U.S. investment management regulations, including the Investment Advisers Act of 1940 and related SEC requirements.

Responsabilidades

• Advise fund sponsors and investment managers on the formation, structuring, and launch of investment funds across multiple asset classes.
• Draft and negotiate fund documentation, including private placement memoranda, limited partnership agreements, operating agreements, and subscription materials.
• Counsel clients on regulatory compliance matters under federal and state securities laws.
• Provide ongoing advice regarding fund operations, governance, and investor relations.
• Collaborate with colleagues across tax, regulatory, and transactional teams to deliver comprehensive legal solutions.
• Stay current on regulatory developments impacting the investment management industry.
