Job summary
Our client, a national AmLaw 200 firm, seeks a seasoned Investment Funds Attorney to join its Investment Management & Funds practice across multiple U.S. offices. The role is hybrid, handling complex fund formation and structuring matters for a diverse client base including private equity sponsors, hedge funds, and other alternative vehicles.
Ideal candidates have 10+ years of investment fund experience, strong understanding of U.S. securities laws, and prior large law firm exposure.
Qualifications
- JD from ABA-accredited law school with an excellent academic record.
- Active Bar Admission in the relevant jurisdiction, in good standing.
Responsibilities
- Advise fund sponsors and investment managers on formation, structuring, and launch of funds across multiple asset classes.
- Draft and negotiate fund documentation including private placement memoranda, LPAs, operating agreements, and subscription materials.
- Counsel clients on regulatory compliance under federal and state securities laws.
- Provide ongoing advice on fund operations, governance, and investor relations.
- Collaborate with tax, regulatory, and transactional teams to deliver comprehensive legal solutions.
- Stay current on regulatory developments impacting the investment management industry.
