Meritas Advisory Group, LLC, a national AmLaw 200 firm, seeks a seasoned Investment Funds Attorney to join its Investment Management & Funds practice across multiple U.S. offices.

This hybrid role offers high-level fund formation and structuring work for private equity sponsors, hedge funds, and other vehicle types. Ideal candidates bring 10+ years in investment funds, strong regulatory knowledge, and a track record advising on governance, disclosures, and SEC requirements.

Qualifications

• JD from ABA-accredited law school with an excellent academic record.
• Active Bar Admission in the relevant U.S. jurisdiction, in good standing.
• 10+ years of significant experience in investment fund formation, structuring, and ongoing regulatory compliance.
• Deep knowledge of private equity funds, hedge funds, credit funds, and other alternative investment vehicles.
• Experience advising sponsors and managers on fund governance, disclosures, and regulatory matters.
• Familiarity with U.S. investment management regulations and SEC requirements.

Responsibilities

• Advise fund sponsors and investment managers on the formation, structuring, and launch of investment funds across multiple asset classes.
• Draft and negotiate fund documentation including private placement memoranda, LLC/LP agreements, operating agreements, and subscription materials.
• Counsel clients on regulatory compliance matters under federal and state securities laws.
• Provide ongoing advice regarding fund operations, governance, and investor relations.
• Collaborate with tax, regulatory, and transactional teams to deliver comprehensive legal solutions.
• Stay current on regulatory developments impacting the investment management industry.
