Qualifications

  • Minimum of eight years’ experience as a corporate & securities paralegal.
  • Associates or Bachelor's Degree; Paralegal Certificate is a plus.
  • Ability to handle sensitive information and project management.

Responsibilities

  • Manage Board/Committee meeting planning and preparations.
  • Maintain legal and Board-related databases and systems.
  • Prepare and review D&O questionnaires and evaluations.
  • Oversee governance-related policies and procedures.
  • Track insider stock holdings and related communications.
  • Coordinate proxy statement preparation with third-party vendors.
  • Ensure cross-functional interaction with senior executives and teams.
  • Assist in M&A and capital markets activities as needed.
