Qualifications

• 7+ years of paralegal experience in corporate settings.
• Experience preparing and submitting SEC filings (proxy statements, Form 8-K, Section 16).
• Knowledge of corporate governance, entity management, and regulatory reporting for public companies.
• Proven track record supporting board meetings and annual shareholder meetings.
• Strong written and verbal communication, discretion, and professionalism.
• Ability to prioritize confidential, time-sensitive tasks with minimal supervision.

Responsibilities

• Lead regulatory filings preparation; liaise with regulators for SEC filings.
• Administer insider trading compliance program and respond to audit requests.
• Oversee entity management for 150+ entities; maintain minute books and governance records.
• Support corporate governance processes; prepare board materials and manage BoardVantage.
• Provide administrative support to the chief legal officer and associate general counsel.
