Job summary

Atlanta Housing seeks an experienced Associate Counsel I to serve as a principal legal advisor to the Board of Commissioners, supporting governance, compliance, and ethics across the organization.

Under the General Counsel, you will prepare board materials, advise on fiduciary duties, manage regulatory matters, and lead governance training for Commissioners.

Requirements include a JD, active license, GA eligibility, and 8+ years of governance-focused legal experience.

Qualifications

• Juris Doctor from a U.S. accredited law school.
• Active license, in good standing, to practice law in at least one U.S. jurisdiction; eligibility to practice in Georgia and obtain license within 6 months – one year.
• Minimum 8 years of progressive legal experience, with substantial focus on corporate governance and Board advisory work

Responsibilities

• Advise the General Counsel and Agency executives regarding Board governance and committees.
• Ensure compliance with federal and state laws, bylaws, Robert’s Rules of Order, and Agency policy.
• Advise on fiduciary duties, conflicts of interest, ethics, and governance best practices.
• Advise on compliance with the Georgia Open Meetings Act and the Georgia Open Records Act.
• Support monthly committee and Board meetings, board elections, and governance reporting.
• Prepare, review and manage board materials, agendas, notices, minutes, resolutions, and corporate records.
• Monitor evolving governance standards, regulatory expectations, and stakeholder expectations impacting Board oversight.
• Lead governance and ethics training and onboarding for Commissioners.
• Oversee or provide counsel on the organization’s Code of Conduct, ethics, and governance‑related compliance.
• Advise on Board‑level oversight of internal investigations, whistleblowing, and regulatory inquiries.
• Ensure alignment between governance policies, enterprise risk management, and legal compliance.
