McKesson is seeking an experienced Lead Counsel for Securities & Corporate Governance in Richmond, VA. The role leads governance and SEC reporting efforts for a company preparing to operate as an independent public entity, reporting to the Managing Principal Counsel, CGST.

Responsibilities include building governance processes, overseeing proxy statements, shareholder engagement, and compliance programs, with collaboration across Finance, Investor Relations, Communications, and Legal teams.

Qualifications

• Knowledge of SEC rules and stock-exchange disclosures.
• Experience building governance, disclosure, and compliance processes.
• Ability to provide practical counsel to executives and directors.

Responsibilities

• Build and improve governance processes, board procedures, and disclosure controls.
• Support corporate secretarial operations and shareholder engagement strategy.
• Draft and review proxy disclosures and respond to shareholder inquiries.
• Lead SEC reporting efforts (Forms 10-K, 10-Q, 8-K) with cross‑functional partners.
• Develop trainings and guidance on securities law and governance obligations.
• Monitor SEC rules and governance trends to drive compliance.
