MKS Instruments, Inc. is seeking a Corporate Counsel to join its global Legal Department. The ideal candidate will handle a broad range of securities, governance and other corporate matters, reporting to the Vice President, Associate General Counsel & Secretary.

This hybrid role requires 3 days on-site weekly in Andover, MA. The role offers opportunities to work on SEC disclosures, debt refinancings, equity plan management, tax reorganizations and global subsidiary management within a large

Qualifikationen

• BA/BS and JD from an accredited law school.
• 5+ years’ experience with securities and corporate governance.
• Licensed in at least one state bar.
• Strong knowledge of public company reporting and compliance.

Aufgaben

• Prepare/review SEC filings and Form 10-K/10-Q/8-Ks and Section 16 filings.
• Advise on investor relations materials and communications.
• Support corporate secretary function and board/committee matters.
• Assist corporate finance transactions, debt and equity offerings.
• Support equity plan matters and executive compensation.
• Assist internal tax reorganizations and related tax initiatives.
• Manage global subsidiaries and intercompany agreements.
• Support M&A activities and antitrust regulatory work.
• Collaborate with Finance, Investor Relations, Tax, Treasury and HR.
