Qualifications

• Juris doctor degree or equivalent.
• 7+ years of experience in public company governance and securities laws.
• Admitted to practice before a state bar, with active license in good standing.
• Knowledge of SEC and stock exchange rules and related governance considerations.
• Ability to provide clear, practical counsel to executives, directors, shareholders, and teams.

Responsibilities

• Help build and improve governance function including Board processes and disclosure controls.
• Support corporate secretarial operations as needed.
• Develop and execute shareholder engagement strategies with Investor Relations and other teams.
• Lead proxy statement disclosures and respond to shareholder proposals and no-action requests.
• Design and implement scalable disclosure and reporting processes for SEC filings.
