McKesson is seeking a Lead Counsel to lead Securities & Corporate Governance for the CG&ST pillar in Richmond, VA. The role focuses on securities law, governance, SEC reporting, and board matters as McKesson prepares for independent public company status.

The attorney will design scalable governance and disclosure processes, coordinate with Investor Relations and senior leadership, and provide practical counsel across the organization.

Qualifications

• Knowledge of SEC and stock exchange rules and related considerations.
• Experience building or enhancing governance, disclosure, and compliance processes.
• Ability to provide clear, practical counsel to executives and directors.

Responsibilities

• Build and improve the governance function and board processes.
• Coordinate shareholder engagement and proxy statements disclosures.
• Lead SEC reporting for Forms 10-K, 10-Q, and 8-K with stakeholders.
• Develop training on securities law and governance obligations.
• Ensure insider trading compliance and disclosure controls.
