McKesson is seeking a Lead Counsel for Securities & Corporate Governance to join the Corporate Governance & Strategic Transactions team in a hybrid role based in Richmond, VA. The attorney will provide strategic counsel on securities law, governance, and SEC reporting, guiding the company as MMS prepares for independent public company status.

Qualifications

• Juris doctor degree is required.
• 7+ years relevant experience in public company governance and securities laws.
• Admitted to practice before a state bar with active license in good standing.

Responsibilities

• Provide strategic counsel on securities law, corporate governance, SEC reporting, and public company compliance.
• Design and implement scalable governance, disclosure, and reporting processes for a transitioning public company.
• Lead shareholder engagement strategy, coordinate with Investor Relations, Communications, and senior leadership.
• Oversee proxy statement disclosure strategy and responses to shareholder proposals.
• Develop and deliver training on securities law and governance to business, finance, and legal teams.
• Lead SEC filing preparation and external disclosures with cross-functional partners.
• Build insider trading compliance programs and reporting controls.
