Job summary

EDF power solutions North America is seeking a Counsel to lead and negotiate complex renewable energy project contracts, mergers and acquisitions, and related corporate matters. This role requires strong drafting, negotiation, and regulatory expertise to support development and financing activities.

Based in Houston or nearby, hybrid work is available; the team collaborates with cross-functional stakeholders to drive compliant, value-driven transactions across the U.S., Canada, and Mexico.

Qualifications

• Commercial & legal expertise: drafting and negotiation across major transactional agreements and routine corporate contracts (MSAs, NDAs, and engagement letters).
• Strategic advising & communication: strong written and oral communication; advising senior leadership on complex legal matters.
• Prioritization & execution: manage high-volume, complex assignments with tight deadlines in a fast-paced environment.
• Judgment & collaboration: strong business judgment and collaborative approach to internal and external relationships.

Responsibilities

• Lead negotiations, drafting, and review of major transactional agreements including MSAs and NDAs.
• Support due diligence for project debt/equity financing and purchase/sale agreements.
• Manage in-house and outside counsel; support compliance initiatives.
• Lead training programs on company policies for North America employees and improve department processes.
