Job summary

EDF power solutions North America is seeking a Senior Counsel with extensive experience in renewable energy transactions, governance, and project finance. The role covers drafting and negotiating complex agreements, managing regulatory compliance, and leading a small team in support of energy projects from development to operation.

Qualifications

• Power purchase agreements, interconnection and related project agreements for renewables.
• Experience with M&A and joint venture operating agreements; project financing and security agreements.
• Experience overseeing outside litigation counsel in litigation and other adversarial proceedings.
• Renewable energy industry experience preferred.

Responsibilities

• Lead negotiations, drafting, and review of commercial contracts and M&A documents.
• Support due diligence for project debt financing, equity financing, and related agreements.
• Manage internal clients, legal team, and outside counsel; develop regulatory guidance.
• Develop training programs and improve legal department processes.
• Provide leadership across the legal function for project development, construction, financing, operation and disposition of assets.
• Review service agreements and NDAs as needed.
