Robinhood is seeking an experienced corporate attorney to support a broad range of corporate matters, including M&A, investments and strategic transactions, corporate governance, SEC reporting and compliance, capital markets, global subsidiary and entity management, executive compensation and equity operations, treasury/tax matters, and other general corporate matters.

The role reports to the Director and Associate General Counsel, Corporate and M&A.

Formación

• J.D. from ABA accredited law school or foreign equivalent.
• Membership in at least 1 U.S. State Bar, in good standing.
• 5+ years of broad corporate, securities and transactional experience at a major law firm and/or in-house.

Responsabilidades

• Assist with drafting and reviewing SEC filings (10-K, 10-Q, 8-K, proxies, registrations) and support annual shareholder meetings.
• Support a broad range of corporate transactional matters including M&A, investments, and strategic transactions.
• Assist with board/governance activities: prepare/review materials, draft resolutions/minutes for board and committee meetings and annual shareholder meetings.
• Assist with global subsidiary and entity management, including formation, maintenance, and regulatory compliance.
• Support investor relations and quarterly earnings processes; help ensure Regulation FD compliance for investor communications.
• Support treasury and tax-related matters, including capital markets transactions, credit facilities, stock repurchase plans, tax structuring, and intercompany arrangements.
