is seeking an experienced corporate attorney to support a broad range of corporate legal matters, including M&A, investments and strategic transactions, corporate governance, SEC reporting and compliance, capital markets transactions, global subsidiary and entity management, executive compensation and equity operations, treasury/tax related matters, and other general corporate matters.

Qualifications

• J.D. from an ABA-accredited law school (or foreign equivalent).
• Membership in at least one U.S. State Bar in good standing.
• 5+ years of broad corporate, securities and transactional experience at a major law firm or in-house.

Responsibilities

• Drafting and reviewing SEC filings (10-K, 10-Q, 8-K, proxies) and supporting annual shareholder meetings.
• Support corporate transactions including M&A, investments, and strategic agreements.
• Prepare governance materials and minutes for board and committees.
• Manage global subsidiaries and regulatory compliance; maintain corporate records.
• Assist investor relations and regulatory compliance (Regulation FD).
