Job summary

Robinhood is seeking an experienced corporate attorney to support M&A, investments, governance, SEC reporting, and related corporate matters. The role reports to the Director and Associate General Counsel, Corporate and M&A, and is based in Menlo Park, CA and Washington, DC with in-person attendance required at least 3 days a week. You will draft SEC filings, support transactional matters, manage subsidiaries, and assist investor relations and treasury/tax activities.

• J.D. from ABA-accredited law school is required.
• Bar admission in at least one U.S. state, in good standing.
• 5+ years of broad corporate, securities and transactional experience.
• Strong collaboration and interpersonal communication skills.

• Experience with public technology or financial services companies.

Responsibilities

Robinhood is looking for an experienced corporate attorney to support a broad range of corporate legal matters, including M&A, investments and strategic transactions, corporate governance, SEC reporting and compliance, capital markets transactions, global subsidiary and entity management, executive compensation and equity operations, treasury/tax related matters, and other general corporate matters. This role is based in our Menlo Park, CA and Washington, DC offices, with in-person attendance expected at least 3 days per week.

What You’ll Do

• Assist with drafting and reviewing SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and registration statements and support the annual shareholder meeting process
• Support a broad range of corporate transactional matters, including M&A, investments, and strategic transactions
• Support board and shareholder governance activities, including preparing and reviewing Board and committee meeting materials and drafting resolutions and minutes in connection with Board and committee meetings and annual shareholder meetings
• Assist with global subsidiary and entity management, including formation and ongoing maintenance of domestic and international subsidiaries, maintaining corporate records, ensuring regulatory compliance, and streamlining governance processes
• Support investor relations and the quarterly earnings process and help ensure Regulation FD compliance for all investor communications
• Support all treasury and tax-related matters, including capital markets transactions, credit facilities, stock repurchase plans, tax structuring, and intercompany arrangements
• Work collaboratively and responsively with a broad range of stakeholders, and develop trusted relationships to facilitate a coordinated team approach

What You Bring

• J.D. from an ABA accredited law school (or foreign equivalent)
• Membership in at least 1 U.S. State Bar, with good standing
• 5+ years of broad corporate, securities and transactional experience at a major law firm and/or in house
• Strong collaborator and team player with excellent interpersonal and communication skills and demonstrated ability to work with other teams to drive alignment and action
• Self-starter with a sense of ownership and the ability to execute in a dynamic and fast-paced environment, juggle competing priorities to meet deadlines and adapt quickly to new surroundings
• Strong work ethic, thoroughness, critical thinking, and attention to detail
• A "roll-up-your-sleeves" mentality and a willingness to help wherever needed
• Experience with public technology and/or financial services companies

$187,000-$220,000 USD

Zone 2 (Denver, CO; Westlake, TX; Chicago, IL)

$165,000-$194,000 USD

Zone 3 (Lake Mary, FL; Clearwater, FL; Gainesville, FL)

$146,000-$172,000 USD
