CSAA Insurance Group, a leading AAA insurer, is seeking a Sr. Counsel, Commercial Transactions for a remote role. You will lead structuring, drafting, and negotiating sophisticated insurance distribution and reinsurance transactions in collaboration with business partners to translate new models into clear contracts. The role requires a J.D.

from an accredited U.S. law school, bar admission, and 10+ years of relevant experience, with a remote-first culture and broad U.S. coverage.

Qualifications

• J.D. from an accredited U.S. law school
• Bar admission in good standing
• 10+ years of experience in a relevant practice area
• Ability to communicate verbally and in writing in an organized, effective, and timely manner
• Ability to work in an organized and efficient manner

Responsibilities

• Lead the structuring, drafting, and negotiation of complex insurance distribution arrangements, including agency and aggregator relationships.
• Advise on reinsurance transactions, including inbound, outbound, catastrophe, and opportunistic reinsurance.
• Structure complex, often multi-party insurance programs and commercial transactions, including fleet programs, fronting arrangements, high- or 100% deductible structures, collateral arrangements, MGA or program administrator relationships, and related program, third-party claims administration, and service agreements.
• Coordinate suites of interrelated agreements and help business partners translate novel business models into workable legal and commercial structures.
• Partner across the organization on strategic and emerging initiatives, and contribute as needed to other areas handled by the team, including general commercial contracts, intellectual property, and marketing matters.
• Participate in Legal department and company process-improvement initiatives, including thoughtful adoption of new tools and approaches to delivering legal services
