Job summary

Crusoe is seeking a Senior Counsel – Commercial Cloud Transactions to draft, review, and negotiate SaaS, software licensing, cloud services, and AI-enabled offerings. This role partners with Cloud Sales, Product, Digital Infrastructure, Security, Finance, and Procurement to enable growth and manage legal risk across strategic transactions.

Qualifications

• J.D. from an accredited law school with active bar admission.
• Extensive in-house or law firm experience negotiating SaaS, cloud services, and enterprise agreements.
• Strong understanding of technology transactions and AI-enabled products.
• Proven skill drafting and negotiating complex software and cloud agreements.
• Ability to balance legal risk with commercial objectives and influence stakeholders.
• Intelligent, flexible, creative, diligent and collaborative working style.
• Experience with AI legal technology tools and contract management software.

Responsibilities

• Lead and negotiate software, SaaS and cloud service agreements, including AI-related offerings.
• Advise internal stakeholders on commercial and strategic issues with timely, practical guidance.
• Improve contracting processes with standard forms and playbook variations.
• Work with AI legal technology tools to improve efficiency and outcomes.
• Lead pricing initiatives and commercial model optimization with Finance and Business Ops.
• Prioritize contracts within internal workflows and respond to stakeholders.
