Job summary

MDS Staffing seeks a Senior Corporate Associate to join its Corporate Practice Group in Charlotte or Raleigh, NC. This hybrid role offers exposure to sophisticated deal work and meaningful client contact.

The candidate will collaborate with public/private companies, private equity sponsors, and investors on mergers, acquisitions, and strategic corporate matters, with mentorship and long-term growth opportunities within a supportive team.

Qualifications

• JD from a top-tier law school with excellent academic record.
• Active Bar Admission in North Carolina, in good standing.
• 6+ years of substantive corporate transactional experience in a sophisticated law firm setting.

Responsibilities

• Advise clients on buy-side and sell-side mergers and acquisitions transactions.
• Structure, negotiate, and document complex corporate and commercial transactions.
• Conduct and oversee due diligence reviews and related transaction analysis.
• Draft and negotiate definitive agreements and closing materials.
• Counsel clients on transaction strategy, risk allocation, and business objectives.
• Manage deal execution from LOI through post-closing matters.
• Coordinate with internal and external stakeholders to facilitate successful outcomes.
• Collaborate with attorneys across tax, finance, employment, IP, and regulatory practices.
