Talent With Heart is seeking a Senior Corporate Associate to join its Corporate Practice Group in Charlotte or Raleigh, NC. This role offers exposure to sophisticated deal work and meaningful client contact in a collaborative environment.

You will work closely with public and private companies, PE sponsors, investors, and entrepreneurs on a broad range of business transactions, including mergers and acquisitions, with opportunities for mentorship and long-term growth in a hybrid setting.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Active Bar Admission in North Carolina, in good standing.
• 6+ years of substantive corporate transactional experience in a sophisticated law firm setting.
• Strong drafting and negotiation capabilities involving acquisition agreements and related transactional documents.

Responsabilités

• Advise clients on buy-side and sell-side mergers and acquisitions transactions.
• Structure, negotiate, and document complex corporate and commercial transactions.
• Conduct and oversee due diligence reviews and related transaction analysis.
• Draft and negotiate definitive agreements, disclosure schedules, ancillary documents, and closing materials.
• Counsel clients on transaction strategy, risk allocation, and business objectives.
• Manage deal execution from letter of intent through post-closing matters.
• Coordinate with internal and external stakeholders to facilitate successful transaction outcomes.
• Collaborate with attorneys across tax, finance, employment, intellectual property, and regulatory practices.
• Build and maintain strong client relationships while delivering responsive and practical legal guidance.
