Job Juncture represents a Southeast law firm seeking a Senior Corporate Associate for its Charlotte or Raleigh office. The role rests in the Corporate Practice Group and focuses on sophisticated transactional work, mentorship, and long‑term career growth.

Qualifications

• JD from a top-tier law school with excellent academic record
• Active Bar Admission in North Carolina in good standing
• 6+ years of substantive corporate transactional experience
• Strong background advising on mergers and acquisitions and complex business transactions
• Familiar with buy-side and sell-side transaction structures
• Demonstrated ability to manage transactions from structuring through closing
• Skilled at due diligence and drafting/negotiation of transactional documents
• Sound business judgment and practical problem-solving abilities
• Excellent communication, writing, and client relationship management skills
• Collaborative mindset with mentoring junior attorneys

Responsibilities

• Advise clients on buy-side and sell-side mergers and acquisitions transactions
• Structure, negotiate, and document complex corporate and commercial transactions
• Conduct and oversee due diligence reviews and related transaction analysis
• Draft and negotiate definitive agreements, disclosure schedules, ancillary documents, and closing materials
• Counsel clients on transaction strategy, risk allocation, and business objectives
• Manage deal execution from letter of intent through post-closing matters
• Coordinate with internal and external stakeholders to facilitate successful transaction outcomes
• Collaborate with attorneys across tax, finance, employment, IP, and regulatory practices
• Build and maintain strong client relationships while delivering practical legal guidance
