Job summary

A highly respected Southeastern law firm is seeking a Senior Corporate Associate to join its Corporate Practice Group in Charlotte or Raleigh. This hybrid role offers sophisticated deal work, mentorship, and long-term career growth within a collaborative team.

The successful candidate will handle transactions with public and private companies, private equity sponsors, and investors, with strong drafting, negotiation, and due diligence skills, across buy-side and sell-side engagements.

Qualifications

• JD from a top-tier law school with an excellent academic record
• Active Bar Admission in North Carolina, in good standing
• 6+ years of substantive corporate transactional experience in a sophisticated law firm setting
• Strong drafting and negotiation capabilities involving acquisition agreements and related transactional documents

Responsibilities

• Advise clients on buy-side and sell-side mergers and acquisitions transactions
• Structure, negotiate, and document complex corporate and commercial transactions
• Conduct and oversee due diligence reviews and related transaction analysis
• Draft and negotiate definitive agreements, disclosure schedules, ancillary documents, and closing materials
• Counsel clients on transaction strategy, risk allocation, and business objectives
• Manage deal execution from letter of intent through post-closing matters
• Coordinate with internal and external stakeholders to facilitate successful transaction outcomes
• Collaborate with attorneys across tax, finance, employment, intellectual property, and regulatory practices
• Build and maintain strong client relationships while delivering practical legal guidance
