United Future in Charlotte or Raleigh is seeking a Senior Corporate Associate to join the Corporate Practice Group. This transactional attorney role offers meaningful client contact and mentorship within a collaborative team.

The candidate will handle sophisticated business transactions, mergers and acquisitions, and strategic corporate matters with both buy-side and sell-side experience, in a hybrid setting. Strong drafting and communication are essential.

Formación

• JD from a top-tier law school with an excellent academic record.
• Active Bar Admission in North Carolina, in good standing.
• 6+ years of substantive corporate transactional experience in a sophisticated law firm setting.
• Familiarity with both buy-side and sell-side transaction structures and structures.
• Strong drafting, negotiation, and client relationship management skills, with ability to manage multiple matters.

Responsabilidades

• Advise clients on buy-side and sell-side mergers and acquisitions transactions.
• Structure, negotiate, and document complex corporate and commercial transactions.
• Conduct and oversee due diligence reviews and related transaction analysis.
• Draft and negotiate definitive agreements, disclosure schedules, and closing materials.
• Counsel clients on transaction strategy, risk allocation, and business objectives.
• Manage deal execution from letters of intent through post-closing matters.
• Coordinate with internal and external stakeholders to facilitate successful outcomes.
• Collaborate with attorneys across tax, finance, employment, IP, and regulatory practices.
