The ideal candidate will handle sophisticated business transactions, work with public and private companies, PE sponsors, investors, and entrepreneurs across deal lifecycle in a hybrid environment.

Qualifications

• JD from a top-tier law school with excellent academic record.
• Active North Carolina Bar in good standing.
• 6+ years of substantive corporate transactional experience in a sophisticated law firm setting.
• Experience advising on mergers & acquisitions and complex business transactions.
• Familiarity with buy-side and sell-side transaction structures.
• Strong drafting, negotiation, and client relationship skills.
• Collaborative mindset with mentoring interest; real estate practice preferred.

Responsibilities

• Advise clients on buy-side and sell-side mergers and acquisitions transactions.
• Structure, negotiate, and document complex corporate and commercial transactions.
• Conduct and oversee due diligence reviews and related transaction analysis.
• Draft and negotiate definitive agreements, disclosure schedules, and closing materials.
• Counsel clients on transaction strategy, risk allocation, and business objectives.
• Manage deal execution from LOI through post-closing matters.
