The ideal candidate has a JD from a top-tier law school, NC bar admission, and 6+ years of corporate transactional experience in a similar setting, with strong M&A and due diligence skills.

Qualifications

• JD from a top-tier law school with an excellent academic record
• Active Bar Admission in North Carolina, in good standing
• 6+ years of substantive corporate transactional experience in a sophisticated law firm setting
• Strong background advising on mergers and acquisitions and complex business transactions
• Familiarity with buy-side and sell-side transaction structures
• Demonstrated ability to manage transactions from structuring to closing
• Skilled in due diligence processes and drafting/negotiating acquisition agreements

Responsibilities

• Advise clients on buy-side and sell-side mergers and acquisitions transactions
• Structure, negotiate, and document complex corporate and commercial transactions
• Conduct and oversee due diligence reviews and related transaction analysis
• Draft and negotiate definitive agreements, disclosure schedules, ancillary documents, and closing materials
• Counsel clients on transaction strategy, risk allocation, and business objectives
• Manage deal execution from letter of intent through post-closing matters
• Coordinate with internal and external stakeholders to facilitate successful transaction outcomes
• Collaborate with attorneys across tax, finance, employment, IP, and regulatory practices
• Build and maintain strong client relationships while delivering practical legal guidance
