H.T. Prof Executive Search, representing a Southeast law firm, seeks a Senior Corporate Associate for the Charlotte or Raleigh office. The role focuses on sophisticated deal work within a collaborative Corporate Practice Group, offering mentorship and long-term career growth.

The candidate will work with public/private companies, PE sponsors, and entrepreneurs on an array of business transactions, mergers and acquisitions, and strategic corporate matters, with significant client contact.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Active Bar Admission in North Carolina in good standing.
• 6+ years of substantive corporate transactional experience in a sophisticated law firm setting.
• Strong background advising on mergers and acquisitions and complex business transactions.
• Familiarity with buy-side and sell-side transaction structures.

Responsibilities

• Advise clients on buy-side and sell-side mergers and acquisitions transactions.
• Structure, negotiate, and document complex corporate and commercial transactions.
• Conduct and oversee due diligence reviews and related transaction analysis.
• Draft and negotiate definitive agreements, disclosure schedules, and closing materials.
• Counsel clients on transaction strategy, risk allocation, and business objectives.
• Manage deal execution from LOI through post-closing matters.
• Coordinate with internal and external stakeholders to facilitate successful outcomes.
• Collaborate with attorneys across tax, finance, employment, IP, and regulatory practices.
• Build and maintain strong client relationships while delivering practical guidance.
