The successful candidate will handle sophisticated corporate transactions, advise on buy‑side and sell‑side deals, and collaborate across tax, finance, employment, IP, and regulatory practices. Excellent academics and North Carolina bar admission are essential.

Qualifications

• Active Bar Admission in North Carolina in good standing.
• 6+ years of substantive corporate transactional experience in a sophisticated law firm setting.
• Strong drafting and negotiation capabilities for acquisition agreements and related documents.

Responsibilities

• Advise clients on buy‑side and sell‑side mergers and acquisitions transactions.
• Structure, negotiate, and document complex corporate and commercial transactions.
• Conduct and oversee due diligence reviews and related transaction analysis.
• Draft and negotiate definitive agreements, disclosure schedules, and closing materials.
• Counsel clients on transaction strategy, risk allocation, and business objectives.
• Manage deal execution from letter of intent through post‑closing matters.
• Collaborate with tax, finance, employment, IP, and regulatory practices on deals.
