Ideal candidates have 6+ years of corporate transactional experience, a JD from a top-tier law school, and active North Carolina bar admission. You will manage transactions from structuring to closing, including due diligence and drafting of agreements.

Qualifikationen

• JD from a top-tier law school with an excellent academic record.
• Active Bar Admission in North Carolina, in good standing.
• 6+ years of substantive corporate transactional experience in a sophisticated law firm setting.
• Strong background advising on mergers and acquisitions and complex business transactions.
• Familiarity with buy-side and sell-side transaction structures.
• Ability to manage transactions from structuring to closing and oversee due diligence.

Aufgaben

• Advise clients on buy-side and sell-side mergers and acquisitions.
• Structure, negotiate, and document complex corporate and commercial transactions.
• Conduct and oversee due diligence reviews and related transaction analysis.
• Draft and negotiate definitive agreements, disclosure schedules, ancillary documents, and closing materials.
• Counsel clients on transaction strategy, risk allocation, and business objectives.
• Manage deal execution from letter of intent through post-closing matters.
• Coordinate with internal and external stakeholders to facilitate successful transaction outcomes.
• Collaborate with attorneys across tax, finance, employment, IP, and regulatory practices.
• Build and maintain strong client relationships while delivering responsive and practical legal guidance.
