AEVEX Corp. seeks a senior paralegal to drive entity management, corporate governance, and transactional support across domestic and international entities.

In-house experience with SEC filings and board communications is preferred; familiarity with defense contracting regulations (CFIUS/FOCI, ITAR/EAR) is a plus. This role collaborates with finance, tax, and treasury on intercompany matters and maintains comprehensive records and documents.

Qualifications

• Bachelor’s degree or paralegal certificate from an ABA-approved program.
• Paralegal certifications such as PACE (NFPA) or CP/CLA (NALA).
• 10+ years of paralegal experience, with in-house at a public or large private company preferred.
• Hands-on experience with board portal software (e.g. Diligent Boards).

Responsabilités

• Own day-to-day execution of entity management, corporate records and governance data.
• Support M&A transactions across deal lifecycle and due diligence coordination.
• Prepare and maintain board materials, resolutions, and consents.
• Maintain corporate records, minute books, and corporate authorization documentation.
• Coordinate notarization, apostille, authentication, and legalization of corporate documents.
