Hire Consulting Services in Charlotte or Raleigh seeks a Senior Corporate Associate to join its Corporate Practice Group. This role focuses on sophisticated M&A transactions, private equity interactions, and strategic corporate matters with significant client contact and mentorship opportunities.

The candidate will work with public and private companies, investors, and entrepreneurs, handling transactions through the lifecycle and contributing to a collaborative, growth‑oriented culture.

Qualifications

• JD from a top-tier law school with excellent academic record.
• Active Bar Admission in North Carolina, in good standing.
• 6+ years of substantive corporate transactional experience in a sophisticated law firm setting.
• Strong drafting and negotiation capabilities involving acquisition agreements and related documents.
• Experience advising on buy-side and sell-side M&A and complex business transactions.

Responsibilities

• Advise clients on buy-side and sell-side mergers and acquisitions transactions.
• Structure, negotiate, and document complex corporate and commercial transactions.
• Conduct and oversee due diligence reviews and related transaction analysis.
• Draft and negotiate definitive agreements, disclosure schedules, and closing materials.
• Counsel clients on transaction strategy, risk allocation, and business objectives.
• Manage deal execution from LOI through post-closing matters.
• Coordinate with stakeholders to facilitate successful transaction outcomes.
• Collaborate with attorneys across tax, finance, employment, IP, and regulatory practices.
