Qualifications

• 9+ years of corporate governance experience in a large corporate in-house setting.
• Strong knowledge of SEC filings, governance best practices, and compliance.
• Proficient with legal research tools and databases; able to draft governance documents.

Responsibilities

• Draft and review board resolutions, bylaws, policies, and charters.
• Research regulatory requirements related to corporate governance and compliance.
• Maintain and update corporate records, including minutes and shareholder records.
• Assist with filings such as annual reports, proxy statements, and SEC filings.
