You will advise on corporate governance, securities and public company compliance, support Boards and committees with agendas, minutes and governance materials, and draft SEC filings and disclosures.

Qualifications

• 4+ years of legal experience focused on corporate governance and securities.
• Experience advising on SEC reporting and board governance with public companies.
• Active U.S. state bar in good standing; in-house experience preferred.

Responsibilities

• Advise on corporate governance, securities, and compliance matters.
• Support Board and committee activities including agendas, minutes, and governance materials.
• Draft and review SEC filings and disclosures (proxy statements, Forms 10-K/10-Q/8-K, Section 16 filings).
• Collaborate with legal and business teams on governance policies and corporate transactions.
